Terms Of Use

1. Parties and Acceptance

These Terms of Use (the "Terms") are a binding agreement between you and DROGOAI LLC, a Delaware limited liability company ("Drogo," "we," "us," or "our"). They govern your access to and use of the Drogo web application, mobile application, and Discord bot integration (together, the "Service"). You can reach us at admin@drogo.live.

By creating an account, installing the app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

Drogo focuses exclusively on the stock market. Drogo does not support cryptocurrency, forex, or commodities trading or analysis.

2. Definitions

  • Service — the Drogo web application, mobile application, and Discord bot integration, together with the underlying software and infrastructure that operate them.
  • Analysis — the application of a Methodology you select to a stock you select, together with the presentation of Market Data and other third-party reported information relating to that stock.
  • Strategy — a named set of trading rules, criteria, and settings that you configure within the Service.
  • Watchlist — a list of stocks you select and organize within the Service.
  • Methodology — a technical or fundamental analytical framework (for example, chart pattern recognition, Smart Money Concepts, Wyckoff, or price action) that the Service applies to a stock at your direction. Methodologies are publicly known analytical frameworks; Drogo did not invent them and does not own them.
  • Market Data — price, volume, and related trading data licensed from third-party providers.
  • Subscription — a paid plan described on our Pricing page.

3. Nature of the Service

Drogo is a software tool. It (a) applies a Methodology you select to a stock you select, (b) presents Market Data and other third-party reported financial information about that stock, and (c) lets you configure and run Strategies and Watchlists against that data. That is the entire function of the Service.

Drogo is not an investment adviser, broker, dealer, commodity trading advisor, or financial planner, and is not registered as any of these in any jurisdiction. Nothing in the Service or these Terms creates an advisory, fiduciary, or agency relationship between you and Drogo.

Analysis is not personalized. It does not account for your financial situation, holdings, objectives, or risk tolerance, and no assessment of whether any stock or Methodology is suitable for you has been or will be made. Analysis is generated by applying the Methodology you selected to the stock you selected, and by retrieving and presenting third-party data — nothing more.

Drogo expresses no view on the value of any security. Presenting reported financial figures, ratios, or comparisons about a stock is not a statement that the stock is correctly valued, overvalued, or undervalued. Where Analysis discusses a news event or other development relating to a stock, that presentation is not a statement about the event's effect on the stock or on any security.

Drogo does not execute trades, hold assets, or have access to your brokerage or bank accounts. Drogo does not accept compensation from any broker, issuer, or exchange in connection with Analysis.

This section applies to all Analysis and Market Data wherever it appears in the Service, on every screen and in every format, and applies in full whether or not the screen you are looking at displays an on-screen notice to that effect. Analysis is provided for informational purposes only; it is not investment advice and not a recommendation to buy, sell, or hold any security. Some surfaces repeat that notice for convenience and others do not — where it is absent, its absence grants nothing and changes nothing about these Terms, and you agree not to treat any screen as advice, as a recommendation, or as personalized to you on the basis that no notice appeared on it.

4. Eligibility, Jurisdiction, and Territory

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. or other applicable trade sanctions, and that you are not on any restricted-party list maintained by a competent authority. We reserve the right to restrict, suspend, or terminate access to the Service by territory at any time, with or without notice, including where we determine a market has not been assessed for regulatory purposes. We treat a market as closed by default until we have made that assessment, whether or not these Terms list it separately.

We make no representation that the Service is appropriate, lawful to use, or available in any particular jurisdiction, and accessing it from a jurisdiction where it is prohibited is at your own risk.

5. Account, Security, and Registration

To use most features of the Service you must register using a valid email address or a supported third-party sign-in method. You agree to provide accurate, current information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account, and must notify us promptly at admin@drogo.live of any unauthorized use. Accounts are for one person; you may not share or resell access. We may suspend or terminate an account that provides false information or violates these Terms.

6. Acceptable Use

You agree to use the Service lawfully and not to: republish, resell, or systematically redistribute Analysis, including running a paid channel or service off Analysis obtained from Drogo; scrape or extract data from the Service by automated means; reverse engineer the Service or use it to train a competing model; impersonate another person or misrepresent your identity; interfere with or disrupt the Service or other users' access to it; or use the Service to provide advisory or similar services to third parties without the registration that activity requires under applicable law. We may investigate suspected violations and suspend or terminate access for any violation of this section.

7. Your Strategies, Watchlists, and Other Content You Create

You author your Strategies, Watchlists, and any other configuration you create in the Service. The criteria they contain originate with you; Drogo supplies the software that executes them. You grant Drogo a license to host, process, and run your configurations solely to provide the Service to you.

We may use Strategies, Watchlists, and related configuration data in aggregated or anonymized form — combined with other users' data such that it does not identify you — to operate, secure, and improve the Service. We do not sell this data.

We make no representation that any Strategy or Watchlist, whether authored by you or provided as a template, is effective, will perform in any particular way, or is appropriate for your circumstances.

If you cancel or your account is terminated, you may export your Strategies and Watchlists for 30 days before they are deleted in accordance with our Privacy Policy.

8. Our Intellectual Property

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms. We reserve all rights in the Service's software, models, prompts, interface, and the Drogo name and logo. You may not copy, reproduce, or distribute any of it without our prior written permission.

Methodologies such as Wyckoff and Smart Money Concepts are publicly known analytical frameworks. Drogo does not own them and makes no claim to have originated them.

Third-party names, marks, and logos displayed within the Service — including, without limitation, Nasdaq, NYSE, and Cboe — are the property of their respective owners and are used solely to identify the exchange or venue associated with a stock. Such use does not imply any sponsorship, endorsement, affiliation, or partnership with Drogo.

9. Third-Party Data and Content

Market Data and other third-party financial information presented in the Service are licensed from third parties and provided as is. We do not warrant their accuracy, completeness, timeliness, or continuity, and an interruption of any data feed is not a breach of these Terms by us. You may not redistribute Market Data or other licensed third-party content obtained through the Service. Vendor and exchange terms applicable to this data may be passed through to you, and we may amend the Service as those licenses change.

Market data

Quotes and chart data shown in the Service may be real-time or delayed depending on the source and your Subscription; where delayed, the Service indicates the delay.

Company fundamentals and news-related information

Where Analysis presents company financial figures, they are as reported by the issuer and compiled by our data providers, including Massive API; we do not audit, verify, or restate them, and reporting-period differences or vendor methodology may cause figures to differ from other sources. Where Analysis references a news event, it is derived from third-party sources, may be incomplete, and does not replace the source. If you believe a figure or a description of a news event is inaccurate, contact admin@drogo.live and we will investigate.

10. AI-Generated Output

Analysis is generated by machine learning systems and may be incorrect, incomplete, or internally inconsistent. It is not deterministic — the same stock and Methodology may produce differently worded Analysis at different times. Analysis is not reviewed by a human before it is shown to you and does not constitute a professional opinion of any kind. We do not warrant that the Service correctly applies any Methodology in any given instance. Where Analysis describes a company, an event, or a financial figure, it is derived from third-party sources and may misstate them — verify against primary sources before relying on it or acting on it in any way.

11. Statements About Companies and Other Third Parties

Analysis may reference identified companies, securities, and individuals. We make no representation as to the accuracy of any characterization of a third party appearing in Analysis. Analysis does not constitute an allegation, accusation, or assertion of fact about any company or person, and is not intended as one. No endorsement of, or affiliation with, any company referenced is implied. If you, or a company referenced in Analysis, believe a statement is inaccurate, contact admin@drogo.live and we will respond within 10 business days.

12. No Performance Representations

We make no representation as to the past, hypothetical, or future performance of any Methodology, Strategy, or Analysis. Past performance does not indicate future results. Any illustrative example in the Service or in our marketing is hypothetical and does not reflect actual trading.

13. Subscriptions, Billing, and Renewal

Drogo offers free and paid Subscription tiers. Current fees, billing cycles, and what is included in each tier are described on our Pricing page. Paid Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. Subscriptions purchased through the Apple App Store or Google Play are billed and canceled through your app store account settings; subscriptions purchased directly on drogo.live are billed through our payment processor and can be canceled by emailing admin@drogo.live before your next renewal date. We do not store your full card number; card payments made directly on drogo.live are processed by Stripe.

We may change our Subscription fees or plans, with notice before a change takes effect for existing subscribers. Fees already paid are non-refundable, including for a partial billing period, except where required by law. Where you have a statutory withdrawal or cooling-off right under the law of your country of residence, that right applies in addition to, and is not limited by, this section.

14. Disclaimer of Warranties

The Service and all Analysis are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Drogo and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any trading losses, lost profits, or lost opportunity, arising out of or relating to your use of the Service or reliance on Analysis, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the 12 months before the claim arose, or (b) $100 USD. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you.

16. Assumption of Risk and Non-Reliance

By using the Service, you acknowledge that:

  • Trading and investing in securities involves substantial risk of loss, including total loss of principal.
  • If you trade on margin or use leverage, both gains and losses are magnified.
  • Every trading or investing decision you make is yours alone.
  • You are not relying on Drogo, on any Analysis, or on any statement by Drogo in making any trading or investing decision.
  • You will not treat Analysis as a recommendation.

17. Indemnification

You agree to indemnify and hold Drogo harmless from any claim arising out of your use of the Service, your breach of these Terms, your redistribution of Analysis, or any advisory or similar service you provide to a third party using the Service.

18. Third-Party Promotion and Affiliates

Affiliates, influencers, and referral partners are independent third parties, not our agents, and have no authority to make representations on our behalf. No statement by any third party about the Service, including a statement about its performance, is authorized or endorsed by us.

19. Communications and Notifications

By creating an account, you consent to receive electronic communications and service-related notifications from us, including push and email notifications about your Strategies and Watchlists. You can manage notification preferences in the Service's settings. Marketing communications require your separate consent and you may opt out at any time. A notification tells you that something matching your configured Strategy or Watchlist occurred; it is not an instruction or suggestion to take any action.

20. Termination and Suspension

Either party may terminate this agreement at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud, or where required by law. Termination does not entitle you to a refund of fees already paid except as required by law or stated in Section 13. Sections 8 through 18 and 22 through 24 survive termination.

21. Changes to These Terms

We may amend these Terms at any time. We will provide notice proportionate to the significance of the change — for example, an in-app notice or email. For a material change, we will provide at least 30 days' notice before it takes effect and, where applicable law requires it, ask you to affirmatively accept the revised Terms before they apply to you. Otherwise, continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

22. Dispute Resolution and Governing Law

Before filing a claim, you agree to contact us at admin@drogo.live and attempt to resolve the dispute informally for at least 30 days.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, and any claim not resolved informally will be brought exclusively in the state or federal courts located in Delaware; you consent to their jurisdiction. We do not require arbitration and do not ask you to waive your right to participate in a class action.

23. Relationship to Our Privacy Policy

Our Privacy Policy describes what data we collect and how we use it, and is incorporated into these Terms by reference. We do not collect your brokerage account credentials and do not connect to your brokerage or bank accounts. If that changes, we will update the Privacy Policy and these Terms together before the change takes effect.

24. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Drogo regarding the Service and supersede any prior agreement on the subject. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for a delay caused by events beyond its reasonable control. Section headings are for convenience only. These Terms are written in English; any translation is provided for convenience and the English version controls in the event of a conflict.
